Guardian SDK License

This SDK License (“License”) governs the use of the Guardian (“SDK”) provided by InstaVision Inc. ( “Licensor”). By using the SDK, you (“Licensee”) agree to comply with the terms and conditions outlined below.

Grant of License

Subject to the terms of this License, Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to:

  • Use the SDK solely for the purpose of developing, testing, and deploying applications ( “Applications”) that integrate with InstaVision’s products or services.
  • Distribute Applications that incorporate the SDK solely in compiled, executable form.

Restrictions

Licensee shall NOT:

  • Distribute, sublicense, rent, lease, or sell the SDK in source or object code form.
  • Modify, reverse engineer, decompile, or disassemble the SDK.
  • Use the SDK to create competing products or services.
  • Remove or alter any proprietary notices or labels on the SDK.
  • Distribute the SDK as a stand-alone product or as part of an open-source project.

Ownership and Intellectual Property

All intellectual property rights in and to the SDK, including but not limited to copyrights, trademarks, and patents, are and shall remain the sole and exclusive property of Licensor. No ownership rights are transferred under this License.

Confidentiality

Licensee agrees to maintain the confidentiality of the SDK and any related proprietary information. Licensee shall not disclose such information to any third party without prior written consent from Licensor.

Disclaimer of Warranty

THE SDK IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SDK, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

Licensor may terminate this License at any time if Licensee violates any terms of this License. Upon termination, Licensee must immediately cease all use of the SDK and destroy all copies in their possession.

Governing Law

This License shall be governed by and construed in accordance with the laws of Utah in The United States Of America, without regard to its conflict of law principles.

Changes to this License

Licensor reserves the right to modify or amend this License at any time. Continued use of the SDK constitutes acceptance of the modified terms.
